Terms and Conditions

1. Introduction

1.1 These terms and conditions (VIP Terms) apply to the Ding VIP subscription service (dingVIP or the VIP Service). By subscribing to dingVIP, you expressly agree to be bound by these VIP Terms.

1.2 These VIP Terms are supplemental to, and form part of, Ding's general Terms and Conditions available at www.ding.com/terms-conditions (General Terms). The General Terms continue to apply in full to your use of the Applications and the Services, including in relation to matters such as your Account, data protection, payments, liability, complaints and governing law, and are not repeated here except where these VIP Terms need to set out something specific to dingVIP. If there is any conflict between these VIP Terms and the General Terms in relation to the VIP Service specifically, these VIP Terms will prevail.

1.3 Where you earn Rewards Club points as a dingVIP member, those points remain subject to the Ding Rewards Club Terms and Conditions (Rewards Club Terms), as described further in section 8 below.

2. Eligibility & Enrolment

2.1 dingVIP is only open to registered users of Ding.com and the Ding mobile app (the Applications) who hold a Ding Account.

2.2 You must be at least 18 years of age to subscribe to dingVIP.

2.3 You may hold only one VIP subscription at a time, linked to a single Ding Account.

2.4 dingVIP is available to eligible users in the United States and in other countries as Ding may make it available from time to time, subject to your ability to provide a valid payment method accepted by Ding for recurring billing and to any additional restrictions notified to you on the Applications.

3. dingVIP Tiers, Fees and Monthly Credit

3.1 There are three tiers of dingVIP on offer: Plus, Gold and Platinum. The monthly subscription fee, monthly dingVIP credit allowance and other benefits for the tier suggested for you will be presented to you on the Applications at the point of sign-up. The details for each tier are set out here.

3.2 You can apply a credit of one (1) dingVIP credit unit from your monthly dingVIP credit allowance per transaction that will be deducted from the transaction total. Only one (1) dingVIP credit unit may be applied per transaction up to the maximum monthly credit allowance for your tier. For example, if your monthly dingVIP credit allowance is $10, you can apply USD$1 per transaction during the relevant billing period.

3.3 Any part of your monthly dingVIP credit allowance that is unused at the end of a dingVIP billing period does not carry over to the next billing period and will be forfeited.

3.4 Your dingVIP credit allowance has no cash value, cannot be transferred, exchanged or redeemed for cash, and cannot be used in conjunction with any promotional code, as further described in section 10.

4. Free Trial

4.1 New dingVIP subscribers may be offered a 7-day free trial (Trial) of their selected tier.

4.2 During the Trial, you will receive a fee waiver up to the maximum amount for your selected tier. This fee waiver must be used on one transaction only, is not transferable and must be used during the Trial only. Any fee waiver not used during the Trial will be forfeited.

4.3 During days 0 to 7 of the Trial, you will also have access to one (1) unit of your monthly dingVIP credit allowance, redeemable as described in section 3.2 above.

4.4 You may cancel your dingVIP subscription at any time during the Trial without being charged a subscription fee. If you do not cancel before the end of the Trial, your dingVIP subscription will automatically continue as a paid monthly subscription at your selected tier, as described in section 6.

5. Cooling-Off Period

5.1 If you are a consumer, in addition to your right to cancel at any time under section 7, you have a right to withdraw from your dingVIP subscription within 14 days of subscribing, without giving a reason (Cooling-Off Period).

5.2 By starting your Trial, you expressly ask Ding to begin supplying dingVIP to you straight away, and you acknowledge that if you withdraw after your paid subscription begins, you will be charged for the value of dingVIP already supplied to you, rather than receiving a full refund.

5.3 If you withdraw during your Trial, you will not be charged.

5.4 If you withdraw during the Cooling-Off Period after your paid subscription has started, Ding will refund the subscription fee you paid for that billing period, less the value of any monthly dingVIP credit allowance you used during the Cooling-Off Period.

5.5 Ding will also deduct from your Rewards Club points balance any bonus points earned via the dingVIP points multiplier on transactions made during the Cooling-Off Period.

5.6 To withdraw, you must tell Ding clearly (for example via [email protected] or the Applications) before the Cooling-Off Period ends.

5.7 This section applies only to new subscriptions. Once the Cooling-Off Period has passed, cancellation is governed by section 7.

6. Monthly Subscription, Renewal and Changes

6.1 If you do not cancel before the end of the Trial (or if you subscribe to dingVIP without a Trial), you will be charged the monthly subscription fee for your selected tier, and your dingVIP subscription will automatically renew and be charged monthly to your chosen payment method until you cancel in accordance with section 7.

6.2 The monthly subscription fee for each tier is set out in the table at section 3.1 and will be displayed to you in the Applications before you confirm your subscription. All fees are inclusive of any applicable taxes, unless stated otherwise at the time of payment.

6.3 You can pay for your dingVIP subscription using any of the payment methods that Ding accepts for recurring billing on the Applications, as presented to you when you subscribe.

6.4 Ding may change the fees, monthly credit allowance, points multiplier or other benefits applicable to any VIP tier from time to time. Where a change is to your detriment, Ding will give you reasonable prior notice via the Applications or by email, and you may cancel your dingVIP subscription in accordance with section 7 before the change takes effect or any time after the change.

6.5 There is no minimum term for your dingVIP subscription beyond the billing period you have already paid for, and you may cancel at any time in accordance with section 7.

7. Cancellation and Reactivation

7.1 You may cancel your dingVIP subscription at any time via the Applications.

7.2 If you cancel, you will keep your VIP benefits until the end of your current paid billing period, but you will not be charged again after that. We do not offer refunds for any unused part of a billing period.

7.3 If you cancel your dingVIP subscription before the end of a billing period, you may reactivate your dingVIP subscription at the same tier at any point during that time without any gap in your dingVIP benefits. If you reactivate after that time, you will be treated as a new subscriber, and a further Trial may or may not be offered to you at Ding's discretion.

7.4 If you cancel or downgrade your VIP subscription under this section 7, this does not affect any Rewards Club points you have already earned, which remain subject to the Rewards Club Terms.

7.5 Ding's rights to suspend, disable or terminate your Account or your access to the Applications under the General Terms apply equally to your dingVIP subscription, including for breach of these VIP Terms, the General Terms or the Rewards Club Terms, or for suspected fraudulent activity.

8. Rewards Club Points

8.1 As a dingVIP member, you earn Rewards Club points at an increased rate depending on your tier as set out in the table at section 3.1 and applies to qualifying purchases under the Ding Rewards Club made on the Applications while your dingVIP subscription is active.

8.2 All other aspects of earning, redeeming, checking and losing Rewards Club points, remain governed by the Rewards Club Terms in full. Nothing in these VIP Terms varies the Rewards Club Terms except as expressly set out in this section 8.

9. Priority Support, Discounts and Promotions

9.1 As a dingVIP member, you have access to priority customer support when contacting Ding in relation to the Applications or the Services.

9.2 As a dingVIP member, you may be offered exclusive discounts and promotions from time to time. These are offered at Ding's discretion, may vary between tiers, and may be subject to additional terms presented to you at the time.

9.3 The availability of specific dingVIP benefits may vary depending on whether you access the Applications via iOS, Android or the Ding website.

9.4 From time to time, Ding may make additional promotions available to dingVIP members, which may include prize draws, competitions or similar activities. Any such promotion is optional, is not a core part of the dingVIP Service, and is governed by its own separate terms and conditions made available to you at the time, which apply in addition to these VIP Terms. Ding may introduce, vary, suspend or dis-continue any such promotion at any time.

10. Promotional Codes

10.1 Your dingVIP credit cannot be used in conjunction with a promotional code. If you apply a promotional code to an order on the Applications, you cannot apply any available dingVIP credit to that order.

10.2 If you access an order flow via a link that automatically applies a promotional code, your dingVIP credit will not be presented as an option unless you remove the promotional code from that order.

11. General

11.1 Ding reserves the right to alter, modify, amend, suspend, withdraw or terminate dingVIP, or to amend these VIP Terms, at any time, subject to section 6.4 in relation to changes affecting fees and benefits.

11.2 Ding will send you confirmation of your dingVIP subscription when your Trial begins and again when your paid subscription starts. This confirmation will be sent by email where Ding holds an email address for you or otherwise made available as a durable record within your Account (for example, in your subscription or order history) together with a notification (such as an SMS or in-app alert) telling you that it is available.
